Terms and Conditions for Sakura HR Solutions
These Terms and Conditions ("Terms") govern your use of the services provided by Sakura HR Solutions. By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the services.
1. Services Overview
Sakura HR Solutions provides a comprehensive suite of human resources consulting and media services, including but not limited to HR consulting, talent acquisition and recruitment, employee training and development, internal communications strategy, corporate event planning and management (including conferences, interviews, seminars, and broadcast events), statement drafting and dissemination, and HR technology implementation. Specific details of services will be outlined in separate service agreements or proposals.
2. Client Obligations
- Accuracy of Information: Clients are responsible for providing accurate, complete, and timely information required for the provision of our services.
- Cooperation: Clients agree to cooperate fully with Sakura HR Solutions personnel to facilitate the efficient and effective delivery of services.
- Compliance: Clients shall ensure their activities comply with all applicable laws and regulations during the engagement with Sakura HR Solutions.
3. Confidentiality
Both Sakura HR Solutions and the client agree to maintain the confidentiality of all non-public information shared during the course of the engagement. This includes, but is not limited to, business plans, financial information, personal data, and proprietary methodologies. This obligation of confidentiality shall survive the termination of any service agreement.
4. Intellectual Property
All materials, documents, strategies, or any other intellectual property developed by Sakura HR Solutions during the delivery of services remain the property of Sakura HR Solutions unless otherwise explicitly agreed upon in a separate written agreement. Clients are granted a non-exclusive, non-transferable license to use such materials for their internal business purposes related to the services provided.
5. Limitation of Liability
Sakura HR Solutions strives to provide high-quality services. However, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
6. Payment Terms
Payment terms will be specified in the individual service agreements or proposals provided to the client. Unless otherwise stated, invoices are due upon receipt. Late payments may be subject to interest charges or suspension of services.
7. Termination
Either party may terminate a service agreement as per the terms outlined in that agreement. Upon termination, the client shall pay for all services rendered up to the date of termination.
8. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, shall be referred to and finally resolved by the Tokyo District Court in Tokyo, Japan.
9. Changes to Terms
Sakura HR Solutions reserves the right, at our sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice of any new terms taking effect. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
